Effective October 18, 2026 · v2.1

The fine print.

Everything that governs StartupOS, on one page. Plain language where the law allows, capital letters where it doesn’t.

Terms

Updated October 18, 2026

The agreement between you and StartupOS Labs governing your use of the interface.

1.1

Acceptance

These Terms of Service form a binding agreement between you and StartupOS Labs ("StartupOS", "we", "us") the moment you access startupos.fun, connect a wallet, or interact with any interface we operate (together, the "Interface"). If you do not agree to every provision, do not use the Interface.

1.2

Definitions

Capitalised terms used throughout this page:

(a)"Protocol": the smart contracts deployed on Robinhood Chain that mint, price, and settle tokens.

(b)"Interface": the website and applications StartupOS operates as one of many possible front-ends to the Protocol.

(c)"Token": an experimental digital collectible created by a user through the Protocol.

(d)"Wallet": the self-custodial account you use to sign transactions. You alone control its keys.

(e)"Robinhood Chain": the underlying public network on which the Protocol runs.

1.3

Eligibility

You may use the Interface only if all of the following are true:

(a)You are at least 18 years old and have full legal capacity to contract.

(b)You are not located in, or a resident of, a jurisdiction where use of experimental on-chain tokens is prohibited.

(c)You are not subject to economic sanctions or listed on any restricted-party list.

(d)You are acting for yourself, not on behalf of an unlisted third party.

1.4

The Interface, not the chain

The Interface is a window onto the Protocol. We never take custody of your assets, hold your keys, or execute transactions on your behalf. Every action is signed by your Wallet and executed by the Protocol directly.

Once a transaction is confirmed on Robinhood Chain it is final. StartupOS cannot reverse, refund, accelerate, or modify it, and you should not interpret anything in the Interface as a promise that it can.

1.5

Fees

Launching a Token is free apart from network gas. Standard and Auto-Burn Tokens charge a protocol fee on each trade, and Tax-Free Tokens charge none. A Token launched with a holder rewards tax also charges that tax on each trade. Any fee or tax that applies is included in the quoted price before you confirm. A Tax-Free Token that graduates charges no fee in its pool either: the pool itself is set to zero and the Token’s terms take nothing, so a Tax-Free Token is free to trade before and after graduation. A small number of Tokens graduated into Uniswap V3 pools before this changed; those still pay that pool’s own fee, which is used to buy the Token back and burn it and is not paid to StartupOS. There are no deposit, withdrawal, custody, or inactivity fees. Gas is paid to network validators, not to StartupOS, and varies with network conditions.

1.6

Acceptable use

You agree not to use the Interface to:

(a)Impersonate any person, brand, or project, or launch Tokens that infringe intellectual-property rights.

(b)Engage in market manipulation, including wash trading, spoofing, or coordinated pump-and-dump schemes.

(c)Exploit, or attempt to exploit, the Protocol or other users, including through front-running or oracle manipulation.

(d)Violate any applicable law, including sanctions and anti-money-laundering rules.

(e)Interfere with the Interface’s operation: scraping at abusive rates, probing for vulnerabilities, or introducing malicious code.

We may restrict content from the Interface at our discretion. The Protocol itself is permissionless and beyond our reach: delisting removes a token from our front-end, not from the chain.

1.7

No advice; no fiduciary duty

Nothing on the Interface (charts, king rankings, trending lists, learn articles, or anything else) is investment, legal, accounting, or tax advice. They reflect on-chain activity, not recommendations. StartupOS owes you no fiduciary duties, and nothing in these Terms creates any.

1.8

Disclaimers & limitation of liability

THE INTERFACE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTUPOS’S AGGREGATE LIABILITY ARISING OUT OF YOUR USE OF THE INTERFACE SHALL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). STARTUPOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, TOKENS, OR DATA.

1.9

Changes; governing law

We may update these Terms by posting a revised version with a new "Updated" date; continued use after posting is acceptance. These Terms are governed by the laws of the State of Delaware. Any dispute will be resolved by binding arbitration on an individual basis; class actions and jury trials are waived to the extent permitted by law.

Privacy

Updated October 18, 2026

What we collect, why we need it, and how to ask us to delete it.

2.1

Scope

This policy covers data handled through the Interface and the servers that run it. It does not cover Robinhood Chain itself, third-party wallets, or other front-ends to the Protocol. Each has its own practices.

2.2

What we collect

Your Wallet is your account. When you connect, the Interface reads your wallet address. When you sign in, your Wallet signs a one-time message (no transaction, no fee), and the first time you do, we create an account for that address. Depending on what you use, we then hold:

(a)Your profile: the username we generate for you or the one you choose, and any avatar link and bio you add. Profiles are public.

(b)Your on-chain activity: the launches, trades and holdings of your wallet, which we read from Robinhood Chain and which are public anyway.

(c)What you post and send: comments, live chat messages, direct messages, reports, and the Tokens you launch, with their names, descriptions, links and images. Comments, live chat and Token pages are public. Direct messages are seen only by you and the person you write to, and our team has no tool to browse or search them. There are two exceptions, both for safety: if our automatic abuse checks flag a message, our moderators see its text, and if either of you reports the conversation, they see the report and the reason given. Reports are seen only by our team.

(d)Your activity on the Interface: the creators you follow, your friends and friend requests, your watchlist, your notifications, your points, your referral code and who referred you.

(e)If you go live: your stream’s title and Token, when it started and ended, and how many people watched.

(f)Logs: each action you take (posting a comment, sending a message, editing your profile and so on) is recorded with your wallet address, your IP address and your browser type. The log notes that you posted, and to whom or on which Token, but not what you wrote. Sign-ins and errors are logged the same way.

(g)If you enter with a personal access code while the site is under development: the pages you open, in order, with when and for how long; the page you came from; your browser, operating system and device type; your screen size, time zone and language; your IP address; and the wallets you connect. We combine some of these browser details into a coarse device fingerprint, used only to notice a code being shared.

(h)If you join our waiting list: the name and email address you give, your IP address, and the page you signed up from.

(i)If you register or claim an AI agent through our API: the agent’s profile and the account that claimed it.

(j)If you email us: your email address and what you write.

2.3

What we do not ask for

We never ask for your private keys or seed phrase. You do not need to give us your name, email address, phone number, postal address or any identity document to use the Interface, and we run no identity checks (KYC). You sign in with your Wallet alone; there is no email or password sign-in, and the only email addresses we collect are the ones given to our waiting list and the ones people use to write to us. If you choose to buy crypto with a card, our payment partner runs its own checks (see 2.6).

2.4

On-chain transparency

Everything you do through the Protocol (launches, trades, holdings, timing) is permanently and publicly recorded on Robinhood Chain by design. Anyone can associate that history with your wallet address, and with the public profile, comments and Token pages tied to it. Treat your address as pseudonymous, not anonymous.

2.5

How we use data

(a)Run the Interface: sign you in, show your holdings and profile, and deliver comments, messages, notifications, live streams and referral points.

(b)Keep it safe: rate-limit requests by IP address, screen posts, messages and live video for abuse, act on reports, and suspend accounts that break the Terms.

(c)Run the site while it is under development: let in people with access codes, see how they use it, and notice a code being shared.

(d)Investigate errors and incidents from our logs.

(e)Comply with law where a valid legal demand compels us.

2.6

Sharing

We do not sell, rent, or trade your data, and we do not share it with advertisers or data brokers. There is no advertising on StartupOS. We pass data only to the services that run parts of the Interface for us, and only what each one needs:

(a)OpenAI screens the text of comments, live chat and direct messages for abuse.

(b)Sightengine checks still frames from live streams for harmful images.

(c)Livepeer receives and delivers live video, along with the stream’s title and the streamer’s wallet address.

(d)Our IPFS storage provider (Filebase or QuickNode) keeps the images and Token details you upload at launch. Files on IPFS are public.

(e)WalletConnect relays messages between the Interface and your Wallet when you connect through it.

(f)Transak handles card purchases of crypto where they are offered. It receives your wallet address and the amount you choose, and collects anything else it needs, including identity checks, under its own privacy policy.

(g)Blockchain node providers answer the Interface’s reads of Robinhood Chain, and see your wallet address and IP address when they do.

(h)Telegram carries our team’s internal alerts, which can include a shortened wallet address.

(i)Our hosting and network providers run our servers and database and deliver the site to you.

2.7

Retention

We keep data only as long as it serves the purposes above:

(a)Live chat messages are deleted after 7 days.

(b)Moderation flags are deleted after 30 days, or after 7 days for minor ones.

(c)Activity, sign-in and error logs, including IP addresses, are deleted after 90 days.

(d)Rate-limit counters tied to an IP address expire within an hour.

(e)Your account and what is tied to it (profile, comments, direct messages, follows, friends, watchlist, notifications, points, referrals and reports) are kept while your account is active, or until you ask us to delete them.

(f)Access-code visit records and waiting-list entries are kept as long as they are needed for their purpose, or until you ask us to delete them.

(g)Data in your browser stays there until you clear it. Disconnecting your Wallet removes the sign-in token.

(h)On-chain data and files on IPFS are permanent and outside anyone’s ability to delete, including ours.

2.8

Your choices

(a)Browse without connecting a Wallet. Nothing is tied to your wallet address until you connect or sign in.

(b)Disconnect your Wallet at any time. The Interface signs you out and removes its sign-in token from your browser.

(c)Change or clear your avatar and bio in Settings. You can change your username once.

(d)Clear the Interface’s cookies and browser storage in your browser settings.

(e)Ask us to delete your data: email support@startupos.fun with your wallet address. We will ask you to prove the wallet is yours, then delete your account and the off-chain data tied to it, except records we must keep for security or by law, which expire on the schedule above. Nothing on-chain or on IPFS can be deleted, by us or by anyone.

(f)Use the Protocol through any other front-end, or directly, without touching our Interface at all.

Disclosures

Updated October 18, 2026

What StartupOS is, and importantly, what it is not.

3.1

Nature of the platform

StartupOS is a software interface to autonomous smart contracts. Token creation, pricing in the token’s liquidity pool, and settlement are performed entirely by code on Robinhood Chain. StartupOS does not mint, issue, endorse, or underwrite any Token.

3.2

Not a broker, exchange, or adviser

StartupOS is not a broker-dealer, exchange, alternative trading system, money transmitter, custodian, or investment adviser, and is not registered with the SEC, CFTC, FINRA, or any equivalent body. We do not custody funds, hold order books, match trades, route orders, or take the other side of any transaction.

3.3

Tokens are not securities

Tokens launched on StartupOS are experimental digital collectibles created by users.

TOKENS ARE NOT SECURITIES, ARE NOT LEGAL TENDER, ARE NOT FDIC OR SIPC INSURED, AND CARRY NO CLAIM ON ANY ASSET, REVENUE, OR ENTERPRISE. NO REGULATOR HAS REVIEWED OR APPROVED ANY TOKEN ON STARTUPOS.

3.4

The Robinhood name

StartupOS runs on Robinhood Chain. The Robinhood name refers to the underlying public network only and does not imply endorsement, sponsorship, partnership, or affiliation between StartupOS Labs and Robinhood Markets, Inc. or any of its affiliates.

3.5

Verified contracts

The factory contract’s source code is published and verified on the block explorer, and the contract cannot be upgraded. Anyone can check exactly what the code does before interacting with it, and we encourage you to.

Factory contract: 0xec1F29…16c16C · verify on Etherscan

3.6

Jurisdictional restrictions

Access may be unavailable or restricted in certain jurisdictions, and features may be geofenced where required. It is your responsibility to know and follow the rules that apply to you where you live.

Risk warning

Updated October 18, 2026

Read this one twice. Experimental tokens are the deep end.

You can lose the entire amount you put in. Only participate with money you are fully prepared to lose.

4.1

General

TRADING EXPERIMENTAL TOKENS IS HIGHLY SPECULATIVE. MOST TOKENS LAUNCHED ON PERMISSIONLESS PLATFORMS LOSE MOST OR ALL OF THEIR VALUE. PAST PERFORMANCE, INCLUDING A PLACE AMONG THE HOOD KINGS, IS NO INDICATION OF FUTURE RESULTS.

4.2

Extreme volatility

Prices are set by open trading in an automated liquidity pool. They can and do move ±90% within minutes, at any hour, with no circuit breakers, no trading halts, and no opening bell. A token trending at breakfast can be worthless by lunch.

4.3

Liquidity can vanish

A Token’s liquidity depends entirely on other participants. A Token’s pool is opened holding only the Token itself, so the proceeds available to sellers consist solely of what earlier buyers paid in. There may be no buyers when you want to sell, at any price, and large positions relative to the pool’s depth may be effectively unsellable without collapsing the price.

4.4

Smart contract & network risk

The Protocol’s source code is published and verified on the block explorer, so anyone can check what it does. Its contracts have not yet been through an external security audit. Bugs, exploits, congestion, reorgs, and network failures can delay transactions or cause total loss. Robinhood Chain itself is outside StartupOS’s control.

4.5

Wallet & key security

You alone control your keys. Anyone who obtains them controls your assets, and no one (not StartupOS, not the network) can recover keys that are lost or stolen. Phishing sites imitating StartupOS exist; always verify the domain before signing.

4.6

Regulatory uncertainty

The legal treatment of experimental tokens is unsettled and changing. Future laws or enforcement actions could restrict access, affect token values, or require changes to the Interface with little notice.

4.7

No recourse

On-chain transactions are irreversible. There is no support line that can undo a trade, recover keys, or restore funds sent to a wrong address. If an outcome would be unacceptable to you, do not sign the transaction.

Cookies

Updated October 18, 2026

Two cookies, and only while the site is under development. Here is each one, by name.

5.1

What we set

The Interface sets two first-party cookies, and only when you enter with an access code while the site is under development. Without a code it sets none. We use no analytics, advertising or cross-site tracking cookies. Where card purchases are offered, that window is run by Transak and may set its own cookies.

CookieCategoryPurposeLifetime

honk_gateEssentialKeeps the site open for you after you enter an access code, and links your visit to that code. Signed, and not readable by scripts on the page.7 days

honk_trackedActivityTells the Interface to record the pages you open against your access code (see 2.2). Holds no personal data itself.7 days

5.2

Browser storage

Some things are kept in your browser’s storage instead of in cookies:

(a)auth and auth:wallet: your sign-in token and the wallet it belongs to. Removed when you disconnect your Wallet.

(b)honk-theme and honk-sidebar: your theme and sidebar layout.

(c)honkfun:watchlist and honkfun:follows: your watchlist and follows, also saved to your account once you sign in.

(d)honk_wallet_reported: during an access-code visit, the last wallet reported from that tab. Cleared when the tab closes.

(e)Your wallet connection: RainbowKit, wagmi and WalletConnect keep their own records so your Wallet can reconnect.

5.3

Managing cookies

You can clear cookies and browser storage at any time in your browser settings. While the site is under development, clearing honk_gate means entering your access code again. Clearing browser storage signs you out on that device.

5.4

Changes

If we ever add a cookie, this table will list it by name before it ships, and we will ask for consent where the law requires.
